Terms of Service for Vinlio.

Description of Service

Vinlio is a business-to-business software platform designed for independent wine retailers, wineries, producers, tasting rooms, and wine clubs. It covers catalog management, order processing, customer marketing, accounting, fulfillment, club management, and the Bridge operator workspace. Vinlio is currently in early access and is provisioned through direct onboarding conversations.

Eligibility

Vinlio is intended for businesses and business operators, not individual consumers. By using this site or requesting access to the platform, you represent that you are acting on behalf of a business or that you have authority to enter into agreements on behalf of that business.

Acceptable Use

You agree to use Vinlio and this site lawfully and in good faith. You may not:

• Use the platform for any unlawful purpose or in violation of applicable law.
• Interfere with, disrupt, or attempt to gain unauthorized access to any part of the platform or its infrastructure.
• Scrape, harvest, or systematically extract data from the site or platform without authorization.
• Misuse or abuse the Fit Check, contact forms, or any other interactive feature.
• Attempt to reverse-engineer, decompile, or copy any part of the Vinlio platform or its proprietary systems.

Accounts and Access

When Vinlio accounts are provisioned, users are responsible for maintaining the security of their credentials. Access credentials may not be shared with unauthorized users. You are responsible for all activity that occurs under your account. If you believe your credentials have been compromised, notify us promptly at hello@vinl.io.

Fit Check — Not Professional Advice

The Vinlio Fit Check generates an operational workflow recommendation based on your responses about your business. This recommendation is for informational and planning purposes only. It does not constitute legal, accounting, tax, financial, or professional advice of any kind. You should consult qualified advisors for those matters.

Pricing, Features, and Availability

Pricing, features, modules, and availability described on this site are subject to change. No provision of services, access, or pricing is binding without a confirmed agreement. Live checkout and automatic account provisioning may not yet be available. The pricing page represents our current plans and is subject to revision without notice.

Intellectual Property

Vinlio® is a registered trademark of Aegis Inside. The Vinlio name, logo, brand materials, site design, and platform are protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from any Vinlio materials without our express written permission. Nothing in these terms grants you any license to Vinlio's intellectual property beyond the right to use the site as intended.

Third-Party Services

Some features of the Vinlio platform may rely on third-party service providers — for example, payment processors, email delivery, or shipping carriers. Vinlio is not responsible for the performance, availability, or failures of third-party services. Your use of any third-party services integrated into Vinlio may also be subject to that provider's own terms.

Disclaimer of Warranties

The Vinlio platform and this site are provided "as is" and "as available" without warranty of any kind, express or implied. We do not warrant that the platform will be available without interruption, that it will be free from errors, or that any particular feature will be available at any given time. We make no warranty regarding fitness for a particular purpose or suitability for your specific business needs.

Limitation of Liability

To the fullest extent permitted by applicable law, Vinlio and its affiliates, operators, and service providers shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of or inability to use the platform or this site, even if we have been advised of the possibility of such damages. Our aggregate liability for direct damages shall not exceed the fees actually paid by you to Vinlio in the twelve months preceding the claim, or, if no fees have been paid, a nominal amount to the extent permitted by law.

Termination and Suspension

Vinlio reserves the right to suspend or terminate access to the platform or this site — with or without notice — for any user or business that violates these terms, engages in abusive behavior, or for any other reason at our reasonable discretion. Upon termination, your right to use the platform ceases immediately.

Governing Law and Dispute Resolution

These terms are governed by the laws of the State of Florida, without regard to its conflict-of-law principles. Any dispute arising from or related to these terms or your use of Vinlio that cannot be resolved informally shall be subject to the exclusive jurisdiction of the state and federal courts located in Florida, and you consent to personal jurisdiction in those courts.

Updates to These Terms

These terms may be updated from time to time. We will note material changes on this page with a revised effective date. Continued use of the site or platform after a material change constitutes acceptance of the revised terms.
